1. Purpose of the Agreement

The Affiliate shall promote the Agency’s services and bring new clients or projects. In return, the Affiliate will receive an agreed-upon percentage of the net profit generated from each project successfully executed through their direct efforts.

2. Definition of Net Profit

Net profit is the total revenue received from the client after deducting all direct costs related to the execution of the project (such as design, production, supply, taxes, and any other direct operational expenses).

3. Commission Rate

The Affiliate is entitled to a commission of [8%] of the net profit for each project successfully completed as a direct result of their referral.

4. Proof of Entitlement

• There must be clear documentation that the client or project was brought in by the Affiliate (such as an email, official message, or referral form).
• The Affiliate is not entitled to claim commission for projects or clients with whom the Agency has previously dealt directly or through another affiliate.

5. Payment Mechanism

• The commission is calculated after the Agency receives full payment from the client and the project is fully completed.
• The commission will be paid within a maximum of 15 business days from the date the Agency receives the final payment from the client.
• Payment can be made in cash, by bank transfer, USDT, or any other payment method agreed upon by both parties.

6. Obligations of Both Parties

Affiliate’s Obligations:

• Promote the Agency’s services professionally and transparently.
• Not to make any promises or commitments on behalf of the Agency without prior written approval.
• Maintain the confidentiality of all information related to the Agency and its clients.

Agency’s Obligations:

• Execute projects with high quality and according to the agreement with the client.
• Inform the Affiliate of project developments and payment status.
• Pay the due commission on time.

7. Duration and Termination of the Agreement

• This agreement starts from the date of signing and continues for one year, automatically renewable unless either party notifies the other of their desire to terminate at least 30 days before the expiration date.
• Either party may terminate the agreement by written notice to the other party, with all financial rights due up to the date of termination to be settled.

8. General Provisions

• The Affiliate may not assign their rights or obligations under this agreement to a third party without the Agency’s written consent.
• Any amendment to this agreement must be in writing and signed by both parties.
• In case of a dispute, both parties shall seek to resolve it amicably; if not possible, the matter shall be referred to arbitration in accordance with the laws of Libya.

9. Confidentiality

• Both parties undertake to maintain the confidentiality of all information and data related to projects and clients.

10. Acceptance of the Agreement

By signing below, both parties acknowledge that they have read, understood, and agreed to all the terms of this agreement.
